Terms And Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Yasoly platform and its associated mobile applications and websites (the "Platform"), operated under the brand "Yasoly" / "ياسولي" in the Arab Republic of Egypt. Please read these Terms carefully. By accessing, browsing, or registering on the Platform, you confirm that you have read, understood, and agreed to be bound by them.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you ("User", "you") and Yasoly ("Yasoly", "we", "us"). By using the Platform, you agree to comply with all applicable laws and regulations of the Arab Republic of Egypt, including but not limited to consumer protection law, e-commerce regulations, the Personal Data Protection Law No. 151 of 2020, and the laws governing your specific role as a customer, vendor, or delivery driver. If you do not agree to these Terms, you must immediately cease using the Platform.

2. Definition of Services

Yasoly is a multi-vendor electronic intermediary platform that connects users with local merchants across multiple service categories:

  • Restaurants and food outlets: ordering prepared meals for delivery or pickup
  • Groceries: ordering daily essentials and supermarket items
  • Pharmacies: ordering over-the-counter and prescription medications (subject to applicable Egyptian pharmaceutical regulations)
  • E-commerce shops: ordering retail goods from local independent stores
  • Parcel delivery: requesting on-demand pickup and drop-off of parcels within service zones

Additional services such as ride-hailing may be introduced in future as part of Yasoly's roadmap; their availability will be announced separately and will be subject to specific terms.

3. Yasoly's Role as Electronic Intermediary

Yasoly acts strictly as an electronic intermediary between users and independent merchants and delivery drivers. Yasoly is not the seller of any goods, the manufacturer of any product, or the employer of any delivery driver. Specifically:

  • Yasoly does not produce, prepare, package, or own any merchandise listed on the Platform
  • Yasoly does not directly employ delivery drivers; drivers operate as independent contractors
  • Yasoly does not provide medical, pharmaceutical, financial, or legal advice
  • Merchants are solely responsible for the safety, quality, accuracy, legality, and regulatory compliance of their products
  • Drivers are solely responsible for the safe and lawful execution of delivery services

4. Browse-Only Mode of yasoly.com Website

The yasoly.com website operates in browse-only mode. Visitors to yasoly.com may explore the Platform's catalog, view merchants and items, and learn about Yasoly's services, but transactions (account creation, ordering, payment, and tracking) are conducted through the Yasoly mobile applications. The website is intended for SEO discovery, brand presence, and vendor/driver onboarding form submission. Use of the Platform's transactional features requires the mobile application.

5. User Obligations

By using the Platform, you agree to the following:

  • You are at least 18 years of age and have full legal capacity to enter into this agreement
  • You provide accurate, current, and complete information during registration and order placement
  • You are solely responsible for maintaining the confidentiality of your account credentials and password
  • You will not register more than one account per person; violation may result in immediate account termination
  • You will not use the Platform for any unlawful, fraudulent, or abusive purpose
  • You will not harass, threaten, or discriminate against merchants, drivers, or Yasoly support staff
  • You will not attempt to reverse-engineer, scrape, automate, or interfere with the Platform's technical operation
  • You will be present at, or arrange a proxy at, the delivery address; you are responsible for the accuracy of the address and contact details you provide

6. Vendor Obligations

Vendors registered on the Platform agree to the following:

  • Maintain valid commercial registration, tax card, and operating license required under Egyptian law for the relevant service category (restaurant, grocery, pharmacy, retail)
  • Submit identity verification (KYC) documents during onboarding, including national ID, commercial license, tax card, and bank account details for payouts
  • Ensure all listed items have accurate descriptions, prices, weights, allergens, expiry dates, and applicable regulatory disclosures
  • Comply with all applicable food safety, hygiene, pharmaceutical, and consumer protection regulations
  • Honor the prices and item availability displayed on the Platform; price disputes after order confirmation are vendor liability
  • Process orders within the agreed preparation window and notify Yasoly promptly of any inability to fulfill
  • Refrain from listing prohibited items: alcohol (where prohibited by law), narcotics, counterfeit goods, weapons, or any items restricted by Egyptian law
  • Cooperate with Yasoly's quality and dispute resolution processes
  • Maintain insurance and liability coverage appropriate to the merchant category

7. Driver and Rider Obligations

Delivery drivers and riders registered on the Platform agree to the following:

  • Hold a valid Egyptian driving license appropriate to the vehicle class used
  • Maintain valid vehicle registration, third-party liability insurance, and any commercial-use endorsements required by law
  • Submit complete identity verification (KYC) documents, including national ID, driving license, vehicle ownership/registration, and bank or wallet account for earnings transfer
  • Operate vehicles safely and in compliance with the Egyptian Traffic Law
  • Treat customers, merchants, and Yasoly staff with respect; harassment or abusive conduct will result in immediate platform suspension
  • Maintain the integrity, freshness, and packaging condition of orders during transit
  • Refrain from delivering items the driver knows or reasonably should know are illegal, unsafe, or in violation of the Platform's restrictions
  • Operate as independent contractors; the driver-Yasoly relationship is not an employer-employee relationship under Egyptian Labor Law

8. Payment Terms

The Platform supports the following payment methods:

  • Cash on Delivery (COD): payment in Egyptian Pounds (EGP) directly to the delivery driver upon receipt of the order
  • Card payment: credit and debit cards processed through licensed Egyptian payment gateways. Yasoly does not store full card numbers; only tokenized references are retained
  • Mobile wallets: licensed Egyptian mobile wallet operators (e.g., national instant payment networks)

Total order amounts displayed at checkout include item prices set by the merchant, applicable delivery fees, service fees, and any small-order fees. By confirming the order, you accept the displayed total. Tax obligations are borne by merchants in accordance with Egyptian Value Added Tax (VAT) law.

9. Cancellation and Refund Policy

Cancellation rights, refund eligibility, and processing timelines are governed by our separate Refund Policy. Order cancellation is generally permitted before the merchant has accepted the order. Once the merchant has begun preparation, full or partial refunds may not be available, except where the order is incorrect, missing items, defective, or not delivered. 10. Intellectual Property

All trademarks, logos, designs, software, source code, content, layouts, and proprietary materials displayed on the Platform are the exclusive property of Yasoly or our licensors, and are protected by Egyptian and international intellectual property law. You are granted a limited, non-exclusive, revocable license to access and use the Platform solely for personal, non-commercial purposes. You may not reproduce, modify, distribute, or create derivative works from any Platform content without explicit written consent from Yasoly.

User-submitted content (such as reviews, photos, and order notes) remains your property; however, by submitting such content, you grant Yasoly a non-exclusive, royalty-free, worldwide license to display, distribute, and use that content for the purpose of operating and promoting the Platform.

11. Limitation of Liability

To the fullest extent permitted by Egyptian law, and consistent with Yasoly's role as electronic intermediary:

  • Yasoly is not liable for the safety, quality, legality, or fitness for purpose of items sold by merchants on the Platform
  • Yasoly is not liable for damages caused by the negligent or unlawful conduct of merchants or independent delivery drivers
  • Yasoly is not liable for indirect, incidental, consequential, or punitive damages, including loss of profit or business interruption
  • Yasoly's total aggregate liability for any claim arising from the Platform shall be limited to the extent permitted by applicable Egyptian law, taking into account the nature of the disputed transaction

Nothing in these Terms limits liability that cannot be limited under mandatory provisions of Egyptian law (such as liability for gross negligence or willful misconduct, or rights granted under the Egyptian Consumer Protection Law).

12. Indemnification

You agree to indemnify, defend, and hold harmless Yasoly, its affiliates, officers, employees, and agents from any claim, demand, loss, liability, damage, or expense (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your violation of any applicable law; (c) your infringement of any third-party right, including intellectual property or privacy rights; or (d) your use of the Platform in a manner that causes harm to another user, merchant, or driver.

13. Suspension and Termination

Yasoly reserves the right to suspend or terminate your account, and to refuse or cancel any order, at our sole discretion, for any reason including but not limited to: violation of these Terms, suspected fraud, abuse of the Platform, repeated order cancellations, payment chargebacks, or non-compliance with applicable law. You may also terminate your account at any time by contacting customer support; certain data may be retained as required by our Privacy Policy and applicable law.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the competent Egyptian courts in Cairo. Where applicable, the parties shall attempt to resolve disputes amicably through Yasoly's customer support channels before resorting to litigation.

For consumer disputes, your statutory rights under Egyptian Consumer Protection Law remain unaffected, including the right to lodge complaints with the Egyptian Consumer Protection Agency.

15. Force Majeure

Yasoly shall not be liable for any failure or delay in performance under these Terms caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, government actions, public health emergencies, severe weather, internet or telecommunications failures, or strikes affecting our service providers. Estimated delivery times and service availability may be affected by such events.

16. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable by a competent court, the remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced with a valid provision that most closely reflects the original intent of the parties. These Terms, together with the Privacy Policy, Refund Policy, and Shipping Policy, constitute the entire agreement between you and Yasoly with respect to the Platform, and supersede all prior agreements, understandings, or representations on the subject matter.
